PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.

These Terms and Conditions (“Terms” or “Agreement”) apply solely between [SLEEP SMART FURNITURE TRADING L.L.C], a limited liability company registered under the laws of the Emirate of Dubai in the United Arab Emirates (“UAE”) with License Number [1267899], having its office registered at [1004 Grossvernor Tower, Business Bay, 00000 Dubai, United Arab Emirates], hereinafter referred to as “Sleep Smart” or the “Company”, and any person who uses and accesses the Sleep Smart Website (“Website”) and the features and tools made available by Sleep Smart (“Features”), hereinafter referred to as “User” and collectively referred to as the “Parties”.

Please ensure that you understand all these Terms before you start using our Website and any of our Features and place an order through such Website. If you do not accept any of the Terms, kindly refrain from using the Website of the Company. 
Although Sleep Smart endeavors to ensure that the information on the Website is complete and accurate, the Website may contain errors or inaccuracies. Sleep Smart reserves the right to correct any error or inaccuracy from time to time and to modify, update, or withdraw, temporarily or permanently, the Sleep Smart Website, any part thereof, or any information related to the products available on the Website, including the prices, availability, and description of such products, with or without notice to the User. By accessing the Website or buying the products, you confirm that Sleep Smart shall not be liable to you or any third party for any modification to or withdrawal of the Website. 

You acknowledge and agree that, by using the Website or its Features, you are indicating and acknowledging that you are of legal age, that you have read these Terms, and that you understand and agree to be bound by these Terms and our Privacy Policy incorporated herein by reference, which constitutes a binding agreement between you and Sleep Smart. If you accept and agree to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms. 

If you use the Sleep Smart Website as an individual, any references to “you” in these Terms shall be interpreted accordingly. If you use the Website on behalf of, or in your capacity as an employee or agent of a contractor, a corporate body, association, or partnership, any references to “you” in these Terms shall be interpreted as a reference to such corporate body, association, or partnership and you expressly warrant and represent that you are authorized to bind such corporate body, association or partnership accordingly.
 

1.ACCOUNT REGISTRATION

The Website is not intended to be operated by individuals under the age of /18/ (eighteen). By accessing the Website or using our Features, you hereby represent and warrant to Sleep Smart that you meet the foregoing condition and have the legal capacity to agree to these Terms. If you are not at least /18/ (eighteen) years old, you are prohibited from both access and usage of our Website and Features and the Company assumes no responsibility for any liability related to age or age misrepresentation. 

In order to be able to place Orders and access the entire Features on our Website, you must register a user account (“Account” or “User Account”). You agree to cooperate with all requests made by us or any of our third-party service providers on our behalf to verify your identity or validate your source of funds.
You hereby warrant that you will submit truthful and accurate information, maintain the accuracy of such information, and not violate any applicable law, regulation, or any of the present Terms while using our Website. Otherwise, our Website may not run correctly, we may not be able to contact you with important notices, you will be held accountable for any incomplete or incorrect data, and you will be held liable for any consequences including the failure to deliver any of our products. 
In order to register a User Account, you must (i) be of legal age or over at the point of registration and must provide, in accordance with the provisions of our Privacy Policy, all the information required on the registration form, including but not limited to, your first and last name, date of birth, gender, email address, mobile number, credit or debit card details, scan copy of your identity card or passport, and password. The registration process may require you to verify the email address that you have provided to us, (ii) if you are a legal entity, be duly organized, validly existing in good standing under applicable law, and (iii) have all requisite rights, powers, and authority to enter these Terms and Conditions, perform your obligations, and grant the rights and authorizations in these Terms.

2.SLEEP SMART WEBSITE AND FEATURES

This Agreement applies to your use of the Website and its Features. Our Features and services enable Users to place orders for Sleep Smart products through our Website (“Order(s)”) and make online payment transactions related to such Orders.

3.THE USE OF SLEEP SMART WEBSITE

When you use our Website and Features, you agree and undertake that you will not:
-Deface, alter, or interfere with the front-end “look and feel” content of the Website, any linked sites, or the underlying software code;
-Take any action, regardless of its nature, that may impose an unreasonable or disproportionately large load on the Website or its related infrastructure;
-Do anything that might damage, interfere with, disrupt access to, interrupt, or impair the functionality of the material available on or through the Website;
-Spread malware or transmit any unlawful material containing viruses that may harm the devices of other Users, hack or harm our Website or any of its infrastructure in any way, or upload any electronic software that may interrupt the functionality of any program or equipment, destroy it, or limit its operation or sufficiency or its quality;
-Use our Website to commit a criminal offense or to encourage others to engage in any conduct that would constitute a criminal offense or lead to civil liability;
-Obtain or attempt to obtain unauthorized access to our Website or any private account areas, impersonate anyone, take over other Users’ Accounts, or misrepresent your affiliation with another person or entity;
-Refrain from violating the law, collecting or storing personal information about others, or doing anything that may hold Sleep Smart liable.

We may ask you at any time to confirm the accuracy of your information or to provide documents or other evidence verifying such information. You represent and warrant to us that any information provided or made available by you to Sleep Smart is at all times accurate and complete.

We may contact you by email or in any other way with information and notices regarding your use of our Website and Features. It is your responsibility to regularly check your email account or other methods of communication that you have registered with us and to promptly retrieve and read our communications relating to your use of the Website and Features. We shall not be liable for any loss arising out of your failure to do so. You will be liable for any loss that directly results from any failure to submit, or notify us of any change in, your contact details in accordance with these Terms.

4.ORDERS

The content posted by Sleep Smart on the Website includes showcasing products, informing you about offers to purchase such products (“Offer(s)”), and providing additional information related to our services, products, and news updates. 
Sleep Smart reserves the right to correct, cancel, or terminate any Offer for any reason without prior notice. Additionally, the Company reserves the right to modify or limit the quantity of any product available for purchase in an Offer. 

To place an Order, you must follow the steps outlined below:
-User Account Creation: You must create a User Account on the Website and provide the necessary information as requested;
-Product Selection: Add the desired products to your shopping cart on the Website;
-Delivery Method Selection: Choose your preferred delivery method from the options provided;
-Payment Method Selection: Select your preferred payment method;
-Payment Processing: Complete the payment using the chosen payment method;
-Order Confirmation: After the payment is processed, you will receive an email from
Sleep Smart confirming receipt of your payment and order details.

Following the processing of the payment, the Order validation email sent by Sleep Smart constitutes Sleep Smart’s acceptance of your Order and accordingly, forms the contract of sale between the Parties.

We reserve the right to refuse to execute an order or other use of our services if we have reasonable grounds to suspect fraud, a breach by you of the present Terms, or a violation of law. In the event that we refuse to execute a transaction or an order, you will be notified of such matter and we will provide objectively justifiable reasons for the refusal, unless it is unlawful for us to do so.

When accessing your account on the Sleep Smart Website, or when signing in on the Website to place your Order, Sleep Smart might require you to verify your personal information or your credit card or payment card information through third-party service providers including your credit card issuer or our payment solution provider before accepting any Order.

5.PRODUCT AVAILABILITY

The products and prices we offer are valid as long as they are visible on the Website, other than for special offers. The User is urged to check the availability of the products on the information page relative to each item.

If an ordered item is determined to be unavailable, Sleep Smart reserves the right to cancel the order, provided that notice is given to the User.  

If one of the products ordered is unavailable, Sleep Smart will inform the User that the item cannot be shipped. The rest of the order will be processed and shipped upon the User’s confirmation within the timeframe stated in the email providing the Order’s tracking information.

Dispute Handling:
If you encounter any issues, please contact our customer support team for resolution via phone [971 4 553 4753] OR admin@sleepsmart.ae. We have a formal dispute resolution policy in place to address any concerns effectively.

7.FORCE MAJEURE

Sleep Smart will not be liable for any delay or failure to perform any of its obligations to you, in whole or in part, or for damage or losses that you may incur, if such delay, failure, damage, or losses result from events, circumstances, or causes beyond its reasonable control (“Events of Force Majeure”).

These Event of Force Majeure include but are not limited to, acts of God, natural disasters, epidemics or pandemics, war, terrorism, strikes, labor disputes, government actions, interruptions in transportation or utilities, and other unforeseen circumstances. 

In such cases, Sleep Smart will be entitled to a reasonable extension of time to fulfill its obligations. If the Event of Force Majeure continues for a period exceeding /30/ (thirty) days, the Company or the User may terminate the order upon written notice to the other party.

8.EXCLUSIONS AND LIMITATIONS OF LIABILITY

To the extent permitted by applicable laws, all products purchased through the Website are subject only to the applicable warranties, if any, provided by the manufacturers, distributors, and suppliers of the products. Sleep Smart makes no representations, warranties, covenants, or conditions of any kind, whether express or implied, and does not and cannot offer any warranty beyond what is expressly stated on the Website.

We shall not be liable for damages, liability, or losses of any kind, including but not limited to, any direct or indirect, incidental, special, punitive, or consequential damages, loss of profits, or property damage related to, in connection with, or otherwise resulting from, even if we have been advised of the possibility of such damages, such as damages caused by: (i) your use or inability to use the Website or any of our products, (ii) any delay or failure in delivery or performance of any service resulting from causes beyond Sleep Smart’s reasonable control including but not limited to labor disputes or any other industrial disruptions, internet, and email discontinuity, (iii) wrong disclosure of, unauthorized access to, or alteration of information provided by you, or (iv) any harm to you cause in whole or in part by a third party.

Without limiting the generality of the foregoing provisions, Sleep Smart expressly disclaims all liability for claims related to normal wear and tear, misuse, improper use of the product, unauthorized modifications, incorrect product selection, or misappropriation. 

The access to and the use of our Features and third-party ads are at your discretion and risk; you will be solely responsible for any damage that you may incur, including damages to your computing system or loss of data resulting therefrom.
Sleep Smart’s liability in the event of any claims or disputes arising under these terms and conditions will be limited to the purchase price paid by you for the product in question.

9.INDEMNIFICATION

In addition to the above, you agree to indemnify and hold harmless Sleep Smart, its directors, officers, employees, and agents from and against any claims, actions, proceedings, investigations, demands, suits, costs, expenses, and damages arising out of or related to (i) your use of, or conduct in connection with the Features and products of the Company, (ii) your breach of our enforcement of these Terms, or (iii) your violation of any applicable law, regulation, or rights of any third party during your use of the Website, Features, or products. If you are obligated to indemnify us, our directors, officers, employees, or agents pursuant to these Terms, we will have the right, in our sole discretion, to control any action or proceeding and to determine whether we wish to amicably settle, and if so, on what terms.Therefore, you agree that in the event you violate these Terms set forth herein, or cause any harm to others while using the Sleep Smart Website or products, you agree to abide by the following: 

-Cooperate fully in defending the Company against any legal action taken by third parties;
-Bear all costs related to defending the Company that shall be borne before the competent authorities for any legal action taken against it by third parties;
-Compensating the Company for any expenses, costs, payments, or obligations incurred by it towards third parties.

10.WAIVER AND SEVERABILITY

If a clause or clauses in these Terms and Conditions are declared to be invalid or void pursuant to any law or regulation or a decision of a court or administrative authority, the other clauses will continue to have force and effect. 

Sleep Smart will make its best efforts to replace such clauses with a valid clause, the effect of which is closest to the spirit of these Terms. 

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

11.ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and us relating to your use of our Website, Features, and products, and supersede all prior agreements, understandings, or arrangements (both oral and written), in relation to our Website and products.

12.CHANGES TO THE TERMS & CONDITIONS

You can review the most current version of the Terms and Conditions at any time on this page on our Website.

Sleep Smart reserves the right, at our sole discretion, to update, change, or replace any part of these Terms & Conditions by posting updates and changes to our website. It is your responsibility to check our website periodically for changes.
 
Your continued use of or access to our Website or the Features following the posting of any changes to these Terms & Conditions constitutes acceptance of those changes.

13.JURISDICTION AND APPLICABLE LAW

These Terms and Conditions are governed by, construed, and take effect in accordance with the laws applicable in the UAE, and notably, applicable in the mainland of the Emirate of Dubai.

Your use of the Sleep Smart Website and these Terms and Conditions and any dispute arising out or in connection with the present Agreement shall be subject to the exclusive jurisdiction of the mainland of the Emirate of Dubai.
